TERMS & CONDITIONS
Photography & Film Services

These Terms & Conditions govern all photography and film services provided by Gaiiro (“we, ” “us, ” “our”) to the client (“you, ” “client”).
By booking our services, paying an invoice, or signing a contract, you agree to these terms.
1. Services
We provide photography, videography, and film production services as outlined in written proposals, contracts, or invoices. Services include pre-production, production, and post-production unless otherwise stated.
Any services not explicitly listed are not included and may require an additional agreement or fee.
2. Booking & Payment
- A booking is confirmed only after receipt of a deposit or full payment, as specified in your invoice or contract.
- Deposits are non-refundable unless otherwise stated in writing.
- Final deliverables are released only after full payment is received.
- Prices are subject to change until a booking is confirmed.
3. Client Responsibilities
The client agrees to:
- Provide accurate project details, schedules, and access to locations
- Secure necessary permits, permissions, and approvals unless otherwise agreed
- Ensure subjects are available and prepared at the agreed time
- Communicate changes in advance
Delays or additional work caused by client-side issues may result in additional fees.
4. Creative Control
We retain full creative discretion over:
- Shooting style, composition, lighting, and editing approach
- Selection and curation of final images or footage
While we welcome references and direction, artistic interpretation remains at our discretion unless explicitly agreed in writing.
5. Editing & Revisions
- Editing style reflects our portfolio and creative approach
- Minor revisions may be included if specified in the contract
- Additional revisions beyond the agreed scope are billable
Raw footage or unedited files are not delivered unless explicitly stated in writing.
6. Copyright & Usage Rights
- We retain full copyright ownership of all images and video unless otherwise agreed in writing
- The client receives a license to use the final delivered content as specified in the contract or invoice
- Usage beyond the agreed scope (commercial, advertising, resale, broadcast) requires written permission and may incur additional fees
7. Portfolio & Promotion
Unless otherwise agreed in writing, we reserve the right to use selected images or video clips for:
- Portfolio
- Website
- Social media
- Marketing and promotional materials
Clients may request confidentiality in writing prior to the shoot.
8. Limitation of Liability
- We are not liable for circumstances beyond our control, including weather, location restrictions, equipment failure beyond reasonable prevention, or third-party interference
- Our total liability is limited to the amount paid for the services
- We are not responsible for indirect, incidental, or consequential damages
9. Force Majeure
We are not responsible for failure or delay caused by events beyond reasonable control, including but not limited to natural disasters, illness, travel restrictions, government actions, or emergencies.
10. Governing Law
These Terms & Conditions are governed by the laws of Massachusetts US State, without regard to conflict of law principles.
BOOKING & CANCELLATION POLICY
This policy applies to all photo and film bookings.
Booking
- A booking is confirmed only after payment of the required deposit
- Dates are not reserved without payment
Cancellation by Client
- Cancellation more than 60 days before the shoot: deposit is retained
- Cancellation within 30 days of the shoot: up to 100% of the total fee may be charged
- Deposits are non-refundable due to time reserved and lost opportunities
Rescheduling
- One reschedule may be permitted subject to availability
- Rescheduling within 15 days of the shoot may incur additional fees
Cancellation by Us
If we must cancel due to unforeseen circumstances, all payments received will be refunded or applied to a rescheduled date. No further liability applies.
MODEL RELEASE
Photography & Film Production
By participating in a photography or film session with Gaiiro, the undersigned grants permission as follows:
1. Grant of Rights
I grant Gaiiro the irrevocable right to photograph, film, and record my likeness, voice, and appearance.
2. Usage Rights
I authorize the use of these materials for:
- Commercial and promotional purposes
- Advertising, marketing, portfolio, website, and social media
- Editorial or educational use
This use may occur worldwide and without time limitation.
3. Ownership
I acknowledge that all images and recordings remain the property of Gaiiro, and I waive any right to inspect or approve the final product.
4. Compensation
Unless otherwise agreed in writing, I acknowledge that no additional compensation is owed for the use of these materials.
5. Release of Liability
I release Gaiiro from all claims related to the use of my likeness, including claims for defamation, invasion of privacy, or misrepresentation.
6. Minors
If the subject is under 18, a parent or legal guardian must sign and consent.
